1. Acceptance of Terms

By accessing or using the website, applications, APIs, or consulting services provided by TechSingularity ('Company', 'we', 'our'), you ('Client', 'User') agree to be bound by these Terms & Conditions. If you do not agree to these terms in their entirety, you must discontinue platform use and engagement immediately.

2. Scope of Services & Engagements

TechSingularity provides enterprise software engineering, technical architecture consulting, dedicated squad augmentation, cloud infrastructure modernization, and AI system implementation. Specific project deliverables, milestone timelines, SLAs, and technical requirements are governed by mutually executed Statements of Work (SOWs) and Master Services Agreements (MSAs).

3. Intellectual Property Rights & Ownership

We uphold full client ownership standards across our software engineering delivery pipelines:

• Client Deliverables: Upon full settlement of corresponding milestone invoices, all custom software source code, system documentation, database schemas, and digital assets developed exclusively for the client vest 100% with the client.
• Pre-existing TechSingularity IP: Proprietary developer accelerators, internal libraries, or boilerplate frameworks utilized during development remain our exclusive property, with the client receiving a perpetual, worldwide, non-exclusive license to use such components as embedded within their deliverables.
• Website Assets: All branding, logos, trademarks, and design elements displayed on this website are the property of TechSingularity.

4. Confidentiality & Non-Disclosure

Both parties agree that all technical specifications, architecture blueprints, proprietary codebases, trade secrets, customer information, and financial data shared during initial consultations or active engagements constitute Confidential Information and shall be protected with the highest degree of commercial care.

5. Client Responsibilities & Representations

When engaging TechSingularity for software development services, clients agree to:

• Provide accurate, timely specifications, credentials, and feedback necessary for milestone execution.
• Ensure all third-party code, APIs, media, and assets provided to TechSingularity do not infringe upon third-party intellectual property rights.
• Refrain from utilizing developed systems for unlawful, malicious, or unauthorized surveillance purposes.

6. Billing & Invoicing Terms

Invoicing, milestone billing schedules, hourly squad rates, and payment terms are specified in each formal engagement contract. Invoices are payable within the agreed net terms. Late payments may result in the temporary suspension of ongoing sprint deliverables.

7. Warranties & Limitation of Liability

TechSingularity warrants that engineering services will be executed in a professional, workmanlike manner adhering to modern software engineering best practices. Except as explicitly stipulated in a binding MSA:

• The website and informational content are provided on an 'as-is' and 'as-available' basis without warranties of any kind.
• In no event shall TechSingularity be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of our web platform or service interruptions.

8. Termination & Deliverable Handover

Either party may terminate an engagement in accordance with the notice provisions set forth in the governing MSA. Upon termination and final invoice clearance, TechSingularity will execute an orderly transition, including repository transfer, deployment documentation, and credential handback.

9. Governing Law & Dispute Resolution

These Terms & Conditions and any related agreements shall be governed by and construed in accordance with applicable commercial laws. Any dispute arising out of or related to these terms shall first be addressed through good-faith executive mediation prior to formal legal proceedings.
